1. Introduction

Welcome to CoSprings Business Community, LLC ("CSBC," "we," "our," or "us"). CSBC is a Colorado-based business networking and professional development organization dedicated to serving entrepreneurs and business professionals in the Colorado Springs region and surrounding areas.


These Terms and Conditions ("Terms") govern your participation in all CSBC activities, programs, and services, including but not limited to:

  • Membership enrollment and renewal

  • Attendance at events, breakfasts, workshops, or conferences

  • Participation in educational programs, coaching sessions, or mentorship activities

  • Purchase of sponsorships, advertising, or promotional services

  • Access to CSBC digital content, resources, templates, or online platforms

  • Engagement with CSBC staff, volunteers, contractors, or representatives

  • Participation in CSBC-affiliated online communities, social media groups, or forums


By engaging with CSBC in any of the ways listed above, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you should not participate in any CSBC program, event, membership, or service.


These Terms apply to all members, guests, sponsors, advertisers, volunteers, vendors, speakers, and any other individuals or entities who interact with CSBC in any capacity.

2. Purpose of Membership

CoSprings Business Community exists to help entrepreneurs and business professionals grow through meaningful relationships, practical education, strategic collaboration, and access to business development resources. CSBC's mission is to build a synergistic community through relationships that empower, training that educates, and tools that help expand businesses.


CSBC provides members with access to opportunities including, but not limited to:

  • Regular networking events and relationship-building opportunities

  • Educational workshops, presentations, and guest speaker programs

  • Accountability structures and peer support environments

  • Marketing, advertising, and promotional visibility platforms

  • Sponsorship and co-marketing opportunities

  • Business development resources, tools, and templates

  • Community referrals and collaboration opportunities

  • Recognition programs and member spotlights


Important Disclaimer: Membership in CSBC is intended to provide access to opportunities, community, and educational resources. Membership should not be interpreted as a guarantee of referrals, leads, clients, revenue, business growth, financial freedom, or business success. Results will vary based on individual effort, business model, market conditions, and many other factors outside CSBC's control.

3. Membership Expectations and Conduct

CSBC is built on a foundation of mutual respect, professional integrity, and collaborative spirit. All members, guests, and participants are expected to uphold these values at all times while engaging with CSBC in any capacity.


Members and participants agree to:

  • Treat all individuals with dignity, respect, and professionalism regardless of background, identity, or business type

  • Conduct their business and personal interactions honestly, transparently, and ethically

  • Refrain from harassment, intimidation, bullying, discrimination, or disruptive behavior of any kind

  • Avoid making knowingly false, misleading, defamatory, or deceptive statements about others, their businesses, products, or services

  • Respect the privacy and confidentiality of other members, including information shared in networking, accountability, or educational settings

  • Comply with all applicable federal, state, and local laws, regulations, and licensing requirements relevant to their profession or industry

  • Represent their credentials, qualifications, experience, and business accurately and honestly

  • Avoid soliciting other members in a manner that is aggressive, predatory, or inconsistent with community norms

  • Honor commitments made to other members and to CSBC, including attendance commitments and financial obligations

  • Refrain from promoting, distributing, or sharing content that is illegal, offensive, discriminatory, or harmful within CSBC spaces


Code of Conduct Enforcement: CSBC reserves the right, in its sole discretion, to issue warnings, temporarily suspend, permanently deny access to, or terminate the membership of any individual whose conduct is inconsistent with these standards or with the mission, values, reputation, safety, or best interests of the organization. CSBC is not required to provide advance notice or a formal hearing before taking such action, though CSBC will endeavor to handle such matters fairly and reasonably.

4. Membership Is Not an Endorsement

Membership in CSBC does not constitute, and should not be interpreted as, an endorsement, certification, recommendation, guarantee, verification, or approval of any member, business, product, service, credential, license, or professional ability by CSBC.


CSBC does not screen, verify, vet, license, or certify its members for professional competence, legal compliance, financial stability, business ethics, insurance coverage, or quality of products and services. Membership acceptance is based on meeting CSBC's general membership criteria and does not imply any review of a member's business practices or qualifications.


All members, guests, and participants are solely responsible for conducting their own thorough due diligence before:

  • Hiring, contracting with, or forming professional relationships with another member

  • Purchasing products, services, or programs from another member

  • Entering into contracts, partnerships, joint ventures, or other business arrangements

  • Providing referrals to clients, contacts, or others based on a member relationship

  • Making any financial, investment, or business decisions influenced by member relationships


CSBC makes no representations or warranties, express or implied, regarding the quality, reliability, honesty, competence, licensing, insurance coverage, financial stability, legality, or performance of any member, member business, product, or service. CSBC shall have no liability arising from any transaction, relationship, or interaction between members.

5. Referrals and Business Opportunities

CSBC creates environments and opportunities that are conducive to networking, referral exchange, collaboration, and business development. However, the nature and frequency of referrals are entirely dependent on individual members and the organic relationships formed within the community.


CSBC does not guarantee:

  • That any member will receive referrals from other members

  • The quality, quantity, frequency, or value of any referrals received

  • That referrals will result in qualified leads, scheduled appointments, or sales

  • That business relationships formed through CSBC will produce revenue, growth, or any measurable business outcome


Members acknowledge and agree that business success depends on numerous factors entirely outside the control of CSBC, including individual effort and follow-through, sales and communication skills, market conditions and competition, the quality and relevance of products or services offered, pricing strategy, customer demand, economic conditions, geographic factors, and personal discipline and business acumen.


Referral Conduct: Members are encouraged to refer other members only when they have a genuine, good-faith basis for doing so. Referrals made within the CSBC community are voluntary and should reflect the referring member's honest assessment of fit. CSBC shall not be liable for outcomes arising from referrals made between members.

6. Educational Content — For Informational Purposes Only

CSBC may offer educational content and resources through a variety of formats including workshops, presentations, seminars, panel discussions, networking conversations, one-on-one coaching interactions, articles, blog posts, videos, podcasts, downloadable templates, and guest speaker programs.


All content provided by CSBC, its staff, contractors, volunteers, speakers, or partners is intended solely for general educational and informational purposes. It is not intended to substitute for, and should not be relied upon as, professional advice.


Specifically, nothing provided by or through CSBC constitutes or should be construed as:

  • Legal advice or the practice of law

  • Tax advice, tax preparation, or tax planning guidance

  • Accounting, bookkeeping, or financial statement advice

  • Financial planning or investment advice

  • Insurance advice or recommendations

  • Medical, health, or wellness advice

  • Mental health counseling or therapy

  • Real estate advice or brokerage services

  • Human resources, employment law, or labor relations advice

  • Any other professional service requiring licensure, certification, or regulatory approval


Members and guests are strongly encouraged to consult qualified, licensed professionals before making decisions in any of these areas. Guest speakers and presenters express their own opinions and experiences, which do not necessarily represent the views or endorsements of CSBC.

7. Personal Responsibility

Members and participants acknowledge that they retain full and sole responsibility for all personal, professional, financial, operational, marketing, hiring, and business decisions they make, regardless of any information, ideas, strategies, recommendations, or opportunities received through CSBC participation.


Participation in CSBC does not create any of the following relationships between CSBC and any member or participant:

  • A fiduciary relationship or duty of care

  • A partnership or joint venture

  • An agency or representative relationship

  • An employer-employee or contractor relationship

  • A professional advisory or consulting relationship

  • Any ongoing obligation to provide guidance, oversight, or support


Members agree to independently evaluate any information, advice, or recommendations received through CSBC before acting upon them. CSBC is not responsible for the implementation, outcomes, or consequences of any decisions made by members based on their CSBC participation, interactions with other members, or content accessed through CSBC.

8. Events and Participation

Participation in CSBC events, networking breakfasts, workshops, conferences, volunteer activities, community gatherings, and other activities is voluntary. By registering for or attending any CSBC event, participants acknowledge the voluntary nature of their participation and accept the associated risks.


Participants assume all risks associated with attendance, including but not limited to:

  • Risks associated with travel to and from event locations

  • Consumption of food or beverages provided at events

  • Physical activity, movement, or exercise if applicable to event format

  • Interaction with other attendees, including physical contact

  • Conditions at third-party venues, including but not limited to parking lots, restrooms, hallways, and outdoor areas

  • Exposure to illness or communicable disease

  • Use of event-related technology, equipment, or facilities


Event Conduct: All attendees are expected to comply with the conduct standards described in Section 3. CSBC reserves the right to remove any attendee from an event at its discretion, without refund, if their conduct is disruptive, threatening, inappropriate, or inconsistent with CSBC's values.


Event Changes and Cancellations: CSBC reserves the right to modify, reschedule, or cancel any event at any time due to unforeseen circumstances, including weather, venue issues, speaker cancellations, or other factors beyond CSBC's control. CSBC will make reasonable efforts to notify registered attendees in a timely manner. CSBC shall not be liable for any travel expenses, time costs, or other losses incurred by attendees in connection with event changes or cancellations.


Release of Liability: To the fullest extent permitted by applicable law, participants release and hold harmless CSBC, its owners, officers, directors, employees, volunteers, contractors, sponsors, and representatives from any claims, damages, losses, or injuries arising out of or related to their participation in CSBC events, except where such claims arise from CSBC's gross negligence or willful misconduct.

9. Media Release and Use of Likeness

Members and guests understand and acknowledge that photographs, videos, audio recordings, written testimonials, event footage, and other media content (collectively, "Media") may be captured during CSBC activities, events, programs, and gatherings.


By participating in CSBC activities, you grant CSBC a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, edit, distribute, and display such Media in connection with:

  • CSBC marketing, advertising, and promotional materials

  • Social media content across all platforms

  • CSBC website and digital properties

  • Email newsletters and member communications

  • Event promotion and recaps

  • Community storytelling, case studies, and testimonials

  • Grant applications, partnership pitches, and organizational presentations


This permission is granted without compensation to the participant unless otherwise required by applicable law or agreed to in writing by CSBC.


Opt-Out Requests: If you prefer not to be included in CSBC photography or video recordings, please notify a CSBC staff member or event coordinator at the time of the event. CSBC will make reasonable efforts to accommodate opt-out requests, though CSBC cannot guarantee exclusion from all incidental background footage captured at public events.


Testimonials: If a member provides a written or verbal testimonial to CSBC, they grant CSBC permission to use that testimonial in marketing materials, with or without attribution, unless otherwise requested in writing.

10. Communications Consent

By becoming a CSBC member, registering for an event, or providing your contact information to CSBC in any capacity, you consent to receive communications from CSBC through email, text message, phone, postal mail, and other channels as applicable.


CSBC communications may include:

  • Membership welcome materials, updates, and renewal notices

  • Event announcements, invitations, and reminders

  • Educational resources, newsletters, and community updates

  • Networking and collaboration opportunities

  • Advertising, sponsorship, and promotional opportunities

  • Partner and affiliate communications

  • Survey requests and feedback opportunities

  • Administrative or legal notices related to CSBC membership or participation


Opt-Out: Members may opt out of non-essential marketing communications at any time by following the unsubscribe instructions included in CSBC emails or by contacting CSBC directly. Please note that even after opting out of marketing communications, you may continue to receive transactional or administrative messages necessary to your membership or participation.


By providing a mobile phone number, you consent to receive text message communications from CSBC. Standard message and data rates may apply. You may opt out of text messages at any time by replying STOP.

11. Advertising, Sponsorships, Marketing Services, and Promotional Opportunities

CSBC may offer a variety of paid and unpaid marketing, advertising, promotional, and sponsorship opportunities to members and non-members alike. These opportunities are designed to increase visibility, brand awareness, and community engagement.


Available opportunities may include, but are not limited to:

  • Partner Ads and Awareness Advertising

  • Lead Generation Campaigns

  • Social Media Promotions and Sponsored Posts

  • Event Sponsorships and Breakfast Sponsorships

  • Featured Member Promotions and Business Spotlights

  • Email Newsletter Features

  • Website Listings, Banner Ads, or Directory Placements

  • Podcast or Video Appearances and Co-branded Content

  • Collaborative Promotional Campaigns


No Guarantee of Results: These services are designed to create opportunities for exposure and engagement. CSBC does not guarantee any specific outcome, including referrals, leads, qualified prospects, appointments, sales, revenue, customer acquisition, return on investment (ROI), event attendance, website traffic, social media reach or engagement, or business growth.


Marketing outcomes are influenced by many factors outside CSBC's control, including the quality and relevance of the advertiser's offer, market conditions and competition, consumer demand and purchasing behavior, follow-up speed and sales ability, pricing and value proposition, customer experience and reputation, and economic and industry trends.


Lead Generation Disclaimer: Where lead-generation services are offered, CSBC makes no representations regarding lead quality, accuracy of contact information, purchasing intent, financial capacity, conversion likelihood, or responsiveness. Members are solely responsible for following up with leads, qualifying prospects, conducting sales conversations, delivering products and services, and managing all resulting customer relationships.


Illustrative Estimates: Any examples, case studies, testimonials, estimated impressions, estimated reach, estimated lead volume, estimated cost-per-lead, or estimated outcomes provided by CSBC are illustrative only and represent past performance or projections that should not be interpreted as guarantees of future results.


Content Standards: CSBC reserves the right to reject, modify, suspend, or remove advertising or promotional content that CSBC, in its sole discretion, believes to be misleading, deceptive, unlawful, offensive, harmful, or inconsistent with CSBC's values, standards, or brand.


Fees and Refunds: All advertising, sponsorship, promotional, and marketing fees are non-refundable once services have been initiated or the campaign delivery period has commenced, unless otherwise agreed to in writing by CSBC. In the event CSBC fails to deliver agreed-upon services, CSBC will work in good faith with the advertiser to provide a make-good or appropriate resolution.

12. Intellectual Property

All CSBC branding, logos, trade names, slogans, website content, presentations, documents, training materials, educational content, resources, graphics, videos, audio recordings, downloadable templates, and other intellectual property (collectively, "CSBC Content") are the exclusive property of CSBC unless otherwise stated.


Limited License: Members are granted a limited, non-exclusive, non-transferable, revocable license to access and use CSBC Content for their own personal business-development purposes as part of their active membership. This license does not grant any right to:

  • Reproduce, copy, or duplicate CSBC Content for redistribution

  • Sell, sublicense, or commercially exploit CSBC Content

  • Distribute CSBC Content to third parties without written permission

  • Modify, adapt, create derivative works from, or publish CSBC Content

  • Use CSBC trademarks, logos, or branding in any manner that implies endorsement or affiliation


Any unauthorized use of CSBC Content may result in membership termination and may expose the violating party to legal action. Members who wish to use CSBC Content beyond the scope of this license must obtain prior written permission from CSBC.


Member Content: Members retain ownership of any content they contribute or share within CSBC spaces. By sharing content in CSBC-hosted events, platforms, or materials, members grant CSBC a non-exclusive license to use, display, and reference that content for community and organizational purposes, unless a prior written agreement states otherwise.

13. Independent Businesses

All CSBC members operate as independent business owners or professionals. Nothing in these Terms or in the membership relationship creates or implies any of the following between CSBC and any member:

  • A partnership or general partnership

  • A joint venture or co-ownership arrangement

  • An agency relationship in which one party may act on behalf of the other

  • An employment, contractor, or work-for-hire relationship

  • A franchise relationship or licensing arrangement

  • Any legal affiliation, obligation, or financial liability for each other's business activities


Members remain solely and exclusively responsible for:

  • All aspects of their own business operations, decisions, and conduct

  • Maintaining all required business licenses, permits, and registrations

  • Maintaining appropriate insurance coverage for their business activities

  • Compliance with all applicable laws, regulations, and industry standards

  • All contracts, agreements, and obligations with their own clients or vendors

  • Professional conduct in all dealings with other members, clients, and third parties

  • Payment of all applicable taxes related to their business income


CSBC shall not be held responsible or liable for the actions, omissions, debts, obligations, contracts, representations, or professional conduct of any member or member business.

14. Limitation of Liability

To the fullest extent permitted by applicable law, CSBC, its owners, officers, directors, employees, volunteers, contractors, sponsors, speakers, advisors, and authorized representatives (collectively, the "CSBC Parties") shall not be liable for any of the following types of damages, regardless of whether CSBC was advised of the possibility of such damages:

  • Indirect, incidental, consequential, punitive, special, or exemplary damages

  • Loss of profits, revenue, business opportunities, clients, or data

  • Damages arising from reliance on educational content, presentations, or member interactions

  • Damages arising from referrals, introductions, or business relationships formed through CSBC

  • Damages arising from advertising, sponsorship, promotional, or marketing services

  • Damages arising from member conduct, disputes, or transactions

  • Damages arising from attendance at or participation in CSBC events

  • Damages arising from use of CSBC resources, tools, or digital platforms


Members and participants acknowledge that they engage with CSBC, its programs, resources, and community entirely at their own risk. Where liability cannot be fully excluded by law, CSBC's total aggregate liability to any individual member or participant shall not exceed the total membership fees paid by that individual to CSBC in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

Members and participants agree to defend, indemnify, and hold harmless the CSBC Parties (as defined in Section 14) from and against any and all claims, demands, lawsuits, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees and court costs) arising out of or related to:

  • The member's business activities, operations, or decisions

  • The member's conduct at CSBC events, in CSBC spaces, or in connection with CSBC activities

  • The member's products, services, or professional representations

  • Any false, misleading, or inaccurate statements made by the member

  • The member's violation of these Terms and Conditions

  • The member's violation of any applicable laws, regulations, or third-party rights

  • Any claims by the member's clients, vendors, or business partners arising from transactions connected to CSBC introductions or referrals


This indemnification obligation will survive the termination or expiration of membership.

16. Membership Suspension and Termination

CSBC reserves the right to suspend, deny, or terminate any membership at its sole and reasonable discretion when it determines such action is necessary or appropriate to protect the organization, its members, its mission, or its reputation. Grounds for suspension or termination may include, but are not limited to:

  • Conduct violations as described in Section 3

  • Failure to pay membership dues or other fees owed to CSBC

  • Providing false or misleading information in connection with membership

  • Actions that damage, disparage, or harm CSBC's reputation or community

  • Legal or regulatory actions against the member that CSBC determines are inconsistent with membership

  • Any behavior that CSBC believes poses a risk to the safety, wellbeing, or interests of other members


Notice: CSBC will make reasonable efforts to communicate with members prior to termination when circumstances allow, though CSBC is not obligated to provide advance notice in cases involving safety concerns or serious conduct violations.


Fees: Membership fees are non-refundable upon termination, whether voluntary or involuntary, unless otherwise required by applicable law or expressly agreed to in writing by CSBC. A member who voluntarily resigns their membership remains responsible for any outstanding balances owed to CSBC at the time of resignation.


Reinstatement: A former member who was terminated for cause may request reinstatement in writing. CSBC will review such requests on a case-by-case basis and may grant or deny reinstatement at its sole discretion.

17. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.


Informal Resolution: In the event of any dispute or claim arising out of or related to these Terms or membership in CSBC, the parties agree to first attempt to resolve the matter informally by contacting CSBC in writing and providing a reasonable description of the dispute. CSBC will make a good-faith effort to respond and attempt resolution within thirty (30) days.


Jurisdiction and Venue: If informal resolution is unsuccessful, any legal action, suit, or proceeding arising from or related to participation in CSBC, these Terms, or any CSBC services shall be brought exclusively in the appropriate state or federal courts located within El Paso County, Colorado. Both parties consent to the personal jurisdiction of such courts and waive any objection to venue in El Paso County.


Waiver of Jury Trial: To the fullest extent permitted by law, both parties knowingly and voluntarily waive any right to a jury trial in connection with any dispute arising from these Terms or CSBC participation.


Statute of Limitations: Any claim arising out of or related to CSBC membership or participation must be brought within one (1) year of the date the claim arose, or it shall be permanently barred, to the fullest extent permitted by applicable law.

18. Changes to These Terms

CSBC reserves the right to modify, update, or revise these Terms and Conditions at any time. Changes may be made to reflect updates in CSBC's services, programs, or practices, or to address new legal, regulatory, or organizational requirements.


Notice of Changes: When CSBC makes material changes to these Terms, CSBC will provide notice through one or more of the following means:

  • Email communication to the member's address on file

  • Announcement at a CSBC event or meeting

  • Posted notice on the CSBC website or member portal


Acceptance of Changes: Continued participation in CSBC events, programs, or membership following the effective date of any revision constitutes your acceptance of the revised Terms. Members who do not agree to the revised Terms should discontinue their participation and notify CSBC in writing of their intent to resign their membership.


Archived Versions: CSBC will maintain records of prior versions of these Terms. Members may request a copy of a prior version by contacting CSBC directly.

19. Miscellaneous Provisions

Entire Agreement: These Terms and Conditions, together with any applicable membership agreement, sponsorship agreement, or other written agreement signed by both parties, constitute the entire agreement between you and CSBC with respect to your membership and participation, and supersede all prior discussions, representations, or understandings.


Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.


Waiver: CSBC's failure to enforce any provision of these Terms on one occasion shall not be deemed a waiver of that provision or of CSBC's right to enforce it on future occasions.


Force Majeure: CSBC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, government actions, power outages, venue closures, or other force majeure events.


Assignment: Members may not assign or transfer their membership or any rights under these Terms without CSBC's prior written consent. CSBC may assign these Terms in connection with a merger, acquisition, or transfer of substantially all of its assets.

20. Acknowledgment and Acceptance

By becoming a member of or participant in CoSprings Business Community, LLC, you acknowledge that:

  • You have read and understood these Terms and Conditions in their entirety

  • You agree to be bound by all provisions contained herein

  • You are at least 18 years of age or have obtained appropriate parental or guardian consent

  • You have the legal authority to enter into this agreement on behalf of yourself or your business
